Employee hiring-away compensation

Instead of prohibiting the other party from hiring your employees away, consider instead requiring the other party to pay a fairly serious recruitment fee, to compensate for the loss of revenue and cost of training a replacement. (The Pactix section on this subject explains that the parties intend for recruiting compensation to serve as compensation for anticipated losses, not as a penalty, much as often happens with liquidated-damages clauses.)
