Export controls

Export-controls law is more than a bit complicated, but extremely important for Provider to sort out. Noncompliance can lead to all kinds of trouble, including:
- imprisonment for up to 10 years
- millions of dollars in fines and civil penalties
- denial of export privileges.

Heads-up: Disclosure to foreign nationals can constitute an "export"
Disclosure of export-restricted technical data to a foreign national, even in the U.S., can constitute a "deemed export."
Heads-up: Warranty of exportability
Sometimes Acquiring-Party will ask Provider to warrant that Provider's products are exportable without a license to one or more specific destinations. Provider should definitely consult export-controls counsel before agreeing to such a warranty.
