End-customer nonpayment

An optional clause in the Pactix payment section states that that Acquiring-Party’s payment obligation is not contingent on Acquiring-Party getting paid by its own end-customer. This clause can be useful – and perhaps even crucial – in agreements where Acquiring-Party is to serve as a reseller of Provider’s goods or services: If the contract between Provider and Acquiring-Party does not make this clear, Provider's accountants might conceivably take the position that generally accepted accounting principles (GAAP) do not permit Provider to recognize the revenue until Provider gets paid by Acquiring-Party.
