Express waivers
In the Pactix waiver clause, the requirement that waivers be in "express" signed writings is intended to preclude a party from arguing that a random writing should be creatively re-interpreted as a waiver.
Agreement not to assert a non-signed waiver
Officer-signed waivers
An optional Pactix waiver clause requires all waivers to be signed by officers of the parties. This requirement, however, might prove burdensome for agreements that are signed and managed largely by non-officer personnel.
